Role
Secretary to the Group Audit, Risk and Credit Board Committees, which are primary advisory bodies to the Group Board. As a key link between the Board Committees and Senior Management, you will ensure governance remains compliant, aligned with organizational goals, and effective.
Main Roles and Responsibilities
* Support Board Committees by providing comprehensive secretariat services to ensure effective meetings, aligned with corporate governance arrangements and oversight responsibilities.
* Act as liaison between the Board Committees and Senior Management, facilitating effective communication.
* Advise on governance best practices and support the Head of Group Corporate Office in enhancing the Group governance framework.
Detailed Responsibilities
* Work closely with the respective Board Committee Chair and Senior Management to prioritize agenda items, ensuring decisions meet governance standards.
* Organize meetings, handle logistics, and prepare accurate minutes promptly.
* Maintain an up-to-date decision log for audit purposes.
* Communicate action plans clearly and follow up on their implementation.
* Serve as the primary contact for Board Committee members, managing meeting notices, documents, and relevant information.
* Support Chairs in adhering to governance frameworks and standards.
* Develop and maintain a standing agenda aligned with the scope of each Board Committee as defined in the Terms of Reference.
* Monitor compliance with legal, regulatory, and internal policies.
* Ensure Terms of Reference are current and support the follow-up of internal policies.
* Assist in the continuous improvement of Group governance standards, incorporating best practices.
Skills and Experience
* Minimum of 3 to 5 years of experience in a similar role.
* Deep understanding of audit, risk, and client credit issues in banking.
* Experience as a Risk Manager, Internal or External Auditor, or relevant qualifications are a plus.
* Extensive knowledge of corporate governance principles and banking regulations.
* Ability to understand complex subjects and communicate them clearly.
* Proficiency in activity planning and organizational skills.
* Assertive, adaptable, and able to ensure robust governance.
* Excellent interpersonal and communication skills.
* Full proficiency in English.
* Strong minutes-taking and writing skills.
