Based in Zurich, Constructor Capital operates within the Swiss regulatory framework and collaborates closely with institutional investors, entrepreneurs, and global research ecosystems. The firm combines rigorous financial discipline with a strong operational model to support portfolio companies from early stage through growth and exit. We are seeking a Chief Operating Officer (COO) to join the management team and help scale the operational, governance, and regulatory infrastructure of the organization. The COO will report directly to the Board of Directors and will be responsible for establishing and maintaining the firm’s operational governance framework. Position Overview The Chief Operating Officer (COO) will be a senior member of the management team of Constructor Capital AG, responsible for overseeing the firm’s operational framework, governance processes, regulatory readiness, and internal infrastructure. The COO will ensure that the firm operates efficiently within the Swiss regulatory environment, including coordination with service providers, oversight of internal controls (IKS), and maintaining operational discipline across investment governance, portfolio monitoring, and investor reporting. The role requires a senior operator with experience in regulated financial environments, including treasury management, liquidity planning, operational governance, and internal control frameworks. Experience building financial and operational infrastructure within regulated institutions or investment platforms is highly valuable. Key responsibilities 1.\tOperating Model & Investment Governance •\tRun the advisory / portfolio management operating model, including deal pipeline workflow, investment committee (IC) preparation, execution checklists, and post-investment monitoring cadence. •\tCoordinate preparation of Investment Committee materials and documentation. •\tEnsure consistent decision trail documentation and conflict disclosures. •\tMaintain structured investment workflow processes from pipeline through portfolio monitoring. •\tSupport portfolio governance through consistent valuation documentation and reporting coordination. 2.\tManagement Company Operations •\tOversee day-to-day operational management of the management company. •\tLead budgeting, liquidity management, cost control, and fee/income monitoring. •\tManage relationships with key service providers including legal, tax, IT, fund administration, and compliance support. •\tCoordinate operational activities across the jurisdictions in which the group operates. 3.\tInternal Controls & Governance •\tMaintain the Internal Control System (IKS) for the management company. •\tCoordinate operational oversight of outsourced service providers. •\tEnsure appropriate segregation of duties, approvals, and recordkeeping. •\tEstablish and maintain governance documentation and operational procedures. •\tEnsure that operational processes remain aligned with Swiss regulatory expectations •\tSupport the maintenance of risk management policies and operational risk documentation. 4.\tCompliance & Risk Coordination •\tCoordinate AML/KYC obligations applicable to the manager/adviser. •\tMaintain registers and policies relating to: o\tconflicts of interest o\tpersonal account dealing o\tgifts and inducements o\tcomplaints log •\tSupport ongoing regulatory monitoring and compliance reporting in coordination with external advisers. 5.\tRegulatory & Audit Readiness •\tParticipate in regulatory and audit readiness processes, including: o\tpolicy documentation o\tstaff training records o\tincident registers o\tregulatory review responses •\tCoordinate operational responses to FINMA or regulatory organization (RO) reviews •\tMaintain documentation supporting governance, risk management, and outsourcing oversight. 6.\tBoard & Governance Support •\tOrganize Board of Directors and Investment Committee materials. •\tCoordinate meeting logistics, documentation, and minute preparation. •\tMaintain corporate governance documentation and decision records. •\tEnsure proper documentation of conflicts disclosures and governance approvals. 7.\tFinancial & Treasury Coordination •\tOversee liquidity planning and financial resilience of the management company •\tMonitor cash flow, operating runway, and financial resource planning •\tMonitor liquidity buffers and financial resources in line with internal risk management policies. •\tCoordinate treasury activities including Foreign Exchange exposure management and banking relationships 8.\tInvestor & Reporting Coordination •\tCoordinate preparation of investor and LP reporting materials, including: o\tportfolio updates o\tfactsheets o\tperformance summaries •\tEnsure reporting consistency based on data provided by the fund administrator and portfolio companies. •\tSupport preparation of materials for future fundraising and investor due diligence. Required Skills & Expertise Education •\tMaster’s degree in Finance, Economics, Mathematics, Engineering Economics, or a related quantitative discipline. Professional Experience •\t10 years of experience in financial services, with a strong focus on asset management, banking, or venture capital environments. •\tProven leadership experience within regulated financial institutions or regulated investment environments. •\tStrong background in treasury (esp. FX exposure management, money-market operations, and oversight of fixed-income portfolios), liquidity forecasting and management, financial governance, and operational infrastructure. •\tExperience implementing internal controls, financial reporting frameworks, and governance processes. •\tDemonstrated ability to build operational functions and policies from the ground up. •\tDeep understanding of AML/KYC frameworks and financial regulatory compliance environments. •\tExperience working within regulated banking, asset management, or financial services environments, including responsibility for regulatory ratios, liquidity frameworks, or operational compliance structures. •\tExperience supporting investment governance within asset management, banking, or investment platforms is advantageous. Additional Qualifications •\tProfessional certifications such as FRM, CFA, or similar risk/finance credentials are highly desirable. •\tExperience working with multi-jurisdictional financial structures and investment vehicles •\tStrong understanding of risk management, financial controls, and regulatory constraints.
