Junior Legal Counsel - Carve - Outs (m/w/d)

Purpose of the Job:
The Interim Legal Counsel will play a key role in supporting the legal execution of the separation of the ANH Business Unit. This position focuses on coordinating and implementing the legal workstreams required between signing and closing, with particular emphasis on separation activities, contract transfers, and the management of SPA‑related obligations.
Working closely with the Head of Legal, internal stakeholders and external counsel, the Interim Legal Counsel will help ensure the timely and effective execution of all legal aspects relating to the carve‑out and separation process.
Key Responsibilities:
Carve‑out / Separation Execution
Support the ongoing legal implementation of the separation of the carved‑out business unit.
Coordinate legal tasks required to operationalise the carve‑out structure and related separation activities.
Track, follow up, and report on key separation actions across internal stakeholders.
Implementation of SPA Obligations
Support the execution of legal obligations arising between signing and closing.
Maintain oversight of legal deliverables and ensure timely completion in line with the transaction timeline.
Assist with preparing, managing and organising documentation required for closing.
Contract Transfers and Consents
Identify, track, and support the execution of contract assignments, novations, and third‑party consents.
Coordinate with business teams to gather necessary information and documentation.
Assist in drafting or reviewing standard transfer documentation as needed.
Coordination with External Counsel
Liaise with external legal advisors supporting the transaction.
Coordinate requests, track legal advice, and support the implementation of recommended actions.
Internal Stakeholder Coordination
Work with internal teams (e.g., commercial, procurement, finance, operations) to ensure smooth implementation of contract transfers and separation milestones.
Maintain documentation, trackers, and clear reporting across legal workstreams.
Qualifications
Qualified lawyer with 2-6 years of post‑qualification experience.
Background in corporate/M&A, transactional work, or corporate legal matters .
Experience with carve‑outs, corporate reorganisations, or contract transfers is a strong advantage.
Highly organised, with strong coordination skills and the ability to manage multiple workstreams simultaneously.
Comfortable working in a project‑driven, transaction‑focused environment with multiple stakeholders.
Able to work independently while reporting directly to the Head of Legal.
