THE ROLE
We are seeking a Legal Counsel for a Swiss financial institution in Zurich, Switzerland. The Legal Counsel will provide support on the structuring, issuance, and distribution of financial instruments, with a strong focus on structured products and related capital markets transactions. This role also involves advising on the legal design and documentation of structured product platforms and ensuring compliance with Swiss and international regulations. Proficiency in both German and English is essential for this role.
KEY RESPONSIBILITIES
1. Provide legal support on the structuring, issuance, and distribution of financial instruments, with a strong focus on structured products and related capital markets transactions.
2. Advise on the legal design and documentation of structured product platforms and special purpose vehicle (SPV) arrangements, ensuring compliance with Swiss and international regulations.
3. Draft, review, and negotiate transaction documentation including product term sheets, distribution agreements, dealer arrangements, and associated legal contracts.
4. Collaborate with internal stakeholders (including trading, structuring, compliance, risk, and tax teams) to assess and manage legal risks related to structured products and financial engineering.
5. Support the development and approval of new product initiatives, advising on legal feasibility and regulatory obligations throughout the product lifecycle.
6. Monitor legal and regulatory developments affecting structured products and financial markets, and implement necessary changes to internal practices or documentation.
7. Provide additional legal advice on broader capital markets, financial services, and regulatory matters, including supervisory law, outsourcing, corporate governance, and commercial contracts as needed.
8. Participate in group-wide legal projects and respond to regulatory inquiries related to financial products and transactions.
YOUR PROFILE
9. Swiss-qualified lawyer (admitted to the Swiss Bar).
10. Fluency in both German and English (written and spoken) is essential.
11. A minimum of 4 – 6 years of post-qualification legal experience, ideally gained within a financial institution or top-tier law firm.
12. Proven expertise in structured products, capital markets transactions, and financial regulatory matters.
13. Excellent drafting and negotiation skills with a pragmatic, solution-oriented mindset.
14. Ability to manage complex legal issues independently and work effectively in a cross-functional environment.
