Investment Fund Structures Specialist
The Private Wealth Structuring team is responsible for designing and scaling investment structures and funds globally.
Structuring professionals collaborate with client relationship management, portfolio management, and operations teams as well as with clients, external professionals, and regulators.
Key projects include establishing and maintaining open-ended investment vehicles (ELITIFs, Part II SICAV, limited partnerships, and other investment funds), designing and forming bespoke investment structures, reviewing regulatory frameworks, and participating in marketing meetings.
Responsibilities:
* Lead European Private Wealth structuring initiatives including design, formation, and negotiation of semi-liquid products customized to accommodate global investor bases
* Contribute to defining and implementing product strategies aligned with ambitions in the Private Wealth space
* Develop and maintain processes resulting in smooth product launches and maintenance with strong controls and minimized risks of errors
* Manage complex structuring projects from a legal, operational, and project management aspect
* Draft and/or review agreements, offering memoranda, articles, limited partnership agreements, side letters, administration agreements, depositary agreements, and other documentation relating to various investment structures
* Research tax, legal, regulatory, and accounting considerations relevant to specific clients, products, and jurisdictions and apply research to contribute to product innovation and formation
* Assume responsibility and ownership for all European funds, including design of innovative product features and maintenance related processes and procedures
* Instruct and manage external legal advisors and other service providers in a cost-effective manner
* Support business development efforts, presentations, client meetings, etc.
* Negotiate agreement terms with institutions for portfolio management/advisory and other partnership and distribution opportunities
