Legal Counsel Fund Management
Responsibilities
* Advising internal and external stakeholders on launching, structuring, and ongoing administration of various private investment funds.
* Structuring and administering investment vehicles such as co-investment funds, continuation vehicles, and secondary transactions.
* Drafting and discussing key fund documents, including limited partnership agreements, subscription agreements, and private placement memoranda.
* Reviewing offering documents for private funds, partnership and investor agreements, various contracts, side letters, confidentiality agreements, and other legal documents for private funds.
* Providing strategic advice to clients on regulatory compliance and fund governance issues.
* Collaborating with law firms in various jurisdictions to provide coordinated legal advice, including on regulatory, corporate, and fund-related investment issues.
* Contributing to knowledge sharing, mentoring, and training.
* Advising private and institutional investors on investment strategies and legal risks.
* Ensuring compliance with FINMA regulations and international securities laws.
* Conducting ad hoc research projects.
Qualifications
* Master’s degree in Law.
* Relevant work experience at a top law or consulting firm, bank or asset manager.
* Professional experience in the fund industry, ideally in the area of private markets investments.
* International work experience with e.g. Luxembourg, Cayman Islands, Guernsey investment funds.
* In-depth knowledge of Swiss and international regulations for investment funds.
* Familiarity with fund structures for various fund products.
* Experience in negotiating with institutional investors.
* Generalist knowledge in taxes and competence to consider different tax aspects with the tax specialists.
* Ability to lead projects with internal and external stakeholders.
* Ability to manage and influence stakeholders.
* Interest in the ongoing review of legal documents.
* Eloquent communication in the relationship with various contact persons.
* English (fluent) and German skills are an advantage.
