Main Purpose:
Providing legal advice and procuring legal services to support the entire portfolio of Trafigura’s companies and commercial activities, with particular focus on (i) transactional matters related to investments in, and divestments of, portfolio entities; (ii) mergers and acquisitions and related financings; and (iii) general corporate matters, competition/anti-trust, including shareholders’ legal relationships, corporate governance, reorganizations and insolvency matters.
Instructing, managing and supervising external legal resources.
Managing legal risk in a transactional context.
Ensure corporate decisions adhere to relevant laws and regulations and internal policies and procedures.
Knowledge Skills and Abilities, Key Responsibilities:
* M&A/General corporate lawyer
* Transactional experience crucial in any sectors, while commodities and/or energies sector experience would be useful
* International experience is beneficial
* Competence in financial transactions beneficial
* 6+ years PQE at a top law firm
* English, Australia and Singapore or US law-qualified, but other jurisdictions considered
* English language essential
* In-house experience a plus, especially in energy/trading sector, but not essential
* Must be willing to travel/work in office.
* High work standards and a keenness to learn / ability to adapt.
Key Responsibilities
* To be a first point of contact for the provision and procurement of legal services
* To identify and manage legal risk and communicate risks to the business
* To identify need for external legal resources, procure and manage the same
* Areas covered include
Non-contentious (trading/transactional/corporate/commercial/financial/projects):
* ability to handle all legal aspects M&A transactions from start to finish (with external support)
* advising upon a variety of transactional agreements
* advising on corporate structures including related documentation, corporate, trade and structured finance, joint ventures, sale/purchase contracts, M&A, and associated documentation
* willingness to provide advice on day-to-day general queries from the business
* Contentious (disputes/litigation)
o Willingness to support on contentious (corporate) matters (experience not essential).
Professional
* Work as member of Trafigura Group Legal Network which provides and procures a full legal service to the Trafigura Group.
