Don’t miss the opportunity to join us and work with different teams in an agile and diverse context.A Day in the Life of a Corporate CounselProvide advice on Swiss law as well as legal and regulatory developmentsPrepare legal documentation and corporate acts for Annual General Meetings of Nestlé S.A. and its Swiss-based subsidiaries, and execute resolutionsEnsure corporate legal housekeeping for Swiss-based Group entities, including preparing Board meetings and maintaining up-to-date constitutional documentsProvide corporate legal advice to the business and corporate functionsAdvise on, prepare, and execute corporate transactions such as corporate reorganizations and closing of M&A transactionsHandle the legal relationship with external auditorsEnsure compliance with SIX Swiss Exchange regulationsProvide legal advice to the share registry, Investor Relations and Corporate Communications teamsInteract with Group Accounting & Reporting, and Group Tax departmentsInstruct and monitor external counsel where requiredWhat Will Make You SuccessfulMaster in Law, bar exam (preferably Swiss, or track-record as an attorney-at-law practicing in Switzerland)Excellent understanding of corporate law, corporate governance, and securities regulationsDemonstrable experience in managing corporate governance mattersProficiency in advising on and executing corporate transactions, such as corporate structuring, and other strategic initiativesProven ability in navigating complex regulatory frameworks, including international corporate structures and stock exchange regulationsCapability to manage multiple projects simultaneously, prioritize tasks, and meet deadlinesAbility to build and develop relationship with cross functional teams internally and externallyExcellent written and verbal communication skillsProficiency in English and French or German is essential, any additional language is a plusNestlé is committed to the accessibility of its recruitment process.
