THE ROLE
We are seeking an experienced Legal Counsel for a global financial services company based in Switzerland. The successful candidate will play a key role in supporting the legal team by drafting and negotiating contracts and offering strategic legal advice on various transactions. A strong background in M&A is essential for this role, with fluency in English required and proficiency in German highly preferred.
KEY RESPONSIBILITIES
1. Support various aspects of transactions, including structuring, due diligence, and coordination of signing and closing
2. Advise on a range of areas, including stakeholder coordination, strategy, due diligence, and providing specific legal guidance on transaction-related issues
3. Participate in or coordinate due diligence and integration activities
4. Coordinate with external legal counsel on transaction documentation and due diligence
5. Draft, review, and negotiate agreements; collaborate with business units and regional legal counsel
6. Provide necessary support to the Head of Legal, M&A
YOUR PROFILE
7. Experience working in-house or at a law firm, practicing corporate law in an international setting
8. Knowledge and experience managing matters in an international M&A environment, with expertise in international corporate and commercial law
9. Proven track record of leadership and project management experience
10. Fluent in English, both written and spoken
11. Excellent drafting, communication skills, and strong attention to detail
12. Ability to navigate nuanced and complex international structures
