We are currently seeking a highly motivated and qualified Corporate Legal Counsel (m/f/d) to join our in-house legal team in Zurich / Switzerland. The successful candidate will support a broad range of corporate, governance, commercial, and compliance matters, providing legal advice across the business and ensuring operations are aligned with Swiss and international legal frameworks.
This role is ideal for a pragmatic, business-oriented legal professional who thrives in a dynamic and international environment.
In this role you will:
* Provide legal advice on corporate governance, contract law, regulatory compliance, and commercial transactions.
* Draft, review, and negotiate a wide range of agreements (e.g., supplier, service, NDAs, distribution, partnership, and employment-related documents).
* Advise on M&A activities, corporate restructuring and entity integration activities.
* Ensure compliance with applicable Swiss and EU legislation (e.g., data protection, labor law, anti-bribery/AML, etc.)
* Support internal teams on risk management, corporate policy, and legal strategy.
* Manage relationships with external legal counsel, particularly as well in cross-border matters.
* Collaborate closely with finance, HR, compliance, and business units.
* Monitor and communicate legal and regulatory developments relevant to the business.
* Provide training and internal guidance to teams on legal and compliance topics.
* Support the Company Secretary in preparing and managing board meetings as well as advising directors in board related matters.
* Oversee corporate housekeeping activities, including the preparation of board and shareholder resolutions, AGMs, director changes, and maintaining up-to-date corporate records.
* Manage filings with commercial registers, notaries, and regulatory authorities in Switzerland and abroad, ensuring legal entities remain in good standing.
Ideally you will bring:
* Master of Law (MLaw) from a top university in Switzerland or the EU/EEA.
* Admission to the Swiss Bar (Anwaltspatent) is highly desirable; candidates without bar admission but with strong in-house or transactional experience will also be considered.
* Additional qualifications such as an LL.M. from a foreign university or a CAS in corporate/compliance law are a plus.
* 4–7 years of relevant post-graduate legal experience, ideally gained in a reputable Swiss law firm and/or a multinational in-house legal department.
* In-house legal experience in the insurance sector or with an insurance supervisory environment (e.g., FINMA-regulated entity) is a strong advantage.
* Sound knowledge of Swiss corporate, commercial, and contract law; experience with international legal matters is an asset.
* Excellent legal drafting and negotiation skills in English and German (working proficiency in both languages is essential).
* Sound knowledge of Swiss corporate, commercial, and contract law; familiarity with insurance regulatory frameworks and cross-border legal issues is beneficial.
* Proven communication and stakeholder management abilities, including the capacity to interact effectively with internal and external partners at all levels
* Highly reliable, self-motivated, and consistently willing to go the extra mile to support team and company objectives
* Solid project management skills, with the ability to manage multiple priorities and deliver results in a fast-paced business environment
