Are you a motivated legal professional with experience in corporate law, M&A, or transaction execution? We are supporting a global organisation undergoing a major business separation and are looking for an interim Junior Legal Counsel to join the team.
This role is perfect for someone who enjoys fast-paced, project-driven work, dealing with multiple stakeholders, and contributing to a large-scale carve‑out.
About the Role
As a Junior Legal Counsel, you will support the legal execution of a business-unit separation. Your focus will be on:
* Supporting the legal implementation of the carve-out structure
* Coordinating legal workstreams and separation activities
* Tracking progress and ensuring deadlines are met
SPA (Share Purchase Agreement) Execution
* Assisting with legal obligations between signing and closing
* Monitoring milestones and managing legal deliverables
* Preparing and organising required closing documentation
Contract Transfers
* Identifying and tracking contracts requiring assignment, novation, or third‑party consent
* Coordinating with business teams to gather information
* Supporting drafting or review of standard transfer documentation
Internal & External Coordination
* Acting as a key liaison with internal teams (commercial, procurement, finance, operations)
* Working closely with external counsel and managing incoming requests
* Maintaining documentation and trackers for all legal workstreams
Candidate Profile
We’re looking for someone who brings:
* Qualified lawyer, with approx. 2–6 years PQE
* Experience in corporate law, M&A, transactions, or similar work
* Exposure to carve‑outs, reorganisations, or contract transfers is a plus
* Strong coordination and project management skills
* Ability to work independently while collaborating with multiple stakeholders
* Comfortable in a fast-moving, transaction-focused environment
